Business as Usual
We provide commercially focussed, practical advice and documentation for our business as usual clients. We aim to operate like an outsourced legal department for these clients, emphasising commercial outcomes and cost effectiveness.
Our business as usual clients include technology and other early stage companies (we have around 50 early stage clients); angel, VC and private equity investors; established technology and services companies; public sector entities; and several large multinationals with operations in New Zealand.
Business as usual services include:
- contracts - reviewing, drafting and negotiating, particularly standard term of trade, IT and technology contracts, and procurement and outsourcing contract
- equity investment – for our angel, VC and private equity investor clients, including advising on investment and M&A transactions and then providing ongoing advice on legal issues arising out of these investments
- capital raising – for our early stage and technology clients, including helping clients to be come investment ready and then assisting in the negotiation, documentaion and implementation of investment transactions
- restructuring – in the last 12 months, as credit and investment markets have tightened, we have been heavily involved in company restructuring projects, for companies, investors and founders
- company law – company law advice, drafting and advising on shareholder agreements, drafting routine company documentation
- public law – advising on routine public law matters including statutory & Government processes & regulatory compliance
- web sites – development contracts, drafting and reviewing T&C’s, reviewing content
We also arrange and manage for our business as usual clients the provision of other day to day legal services by other specialist firms in the employment, banking, dispute resolution, property, trust, IP and tax fields. These services can be provided through us or we can arrange a direct relationship between our client and our partners.
