A company may not issue (or offer to issue) shares, options or convertible notes without providing detailed disclosure information to the investor(s), unless the company is satisfied that one or more of the exclusions set out in Schedule 1 of the Financial Markets Conduct Act 2013 applies.
The tool is designed to help companies identify whether their prospective investor(s) qualify for one or more of those Schedule 1 exclusions.
